Seller identification: DIGITEX COMMERCE SAS is the legal entity and contracting seller responsible for services offered on this domain. "SIVO CLOUD" is the customer-facing business name used on the website, product pages, and checkout experience. Legal business details are shown on quotations, invoices, and signed service agreements before payment.
2. Services
SIVO CLOUD provides software services for business operations, including multiple SaaS application products for different use cases, plus implementation and integration support when required. Our offering is not limited to custom software development.
3. Commercial terms
We provide fixed-price, subscription, and proposal-based services. Deliverables, implementation scope, timeline, billing milestones, and acceptance criteria are defined in quotations, statements of work, or signed service agreements.
Depending on the product, fees may include recurring subscription charges and consumption-based charges tied to usage volume.
4. Billing and payment terms
- Invoices are payable according to terms stated in the applicable agreement.
- Subscriptions renew by billing cycle unless canceled before renewal.
- Some SaaS apps may include usage-based billing (consumption pricing) as defined in the product pricing page or order terms.
- One-time setup and implementation fees are governed by the signed commercial scope.
- Payments are processed by our authorized Merchant of Record provider, identified at checkout, for software products (SaaS subscriptions and eligible software-related usage charges), not for standalone human-driven services.
- Billing support is available at Billing Support.
5. Client responsibilities
Clients agree to:
- Provide accurate and timely project information and feedback.
- Assign authorized contacts to review deliverables and approve milestones.
- Ensure lawful use of delivered software and related assets.
- Pay invoices according to agreed payment terms.
6. Acceptable use
Customers may not use our services for unlawful activity, infringement, fraud, abusive behavior, or any conduct that violates applicable law or payment network obligations.
7. Intellectual property
Unless otherwise agreed in writing, each party retains ownership of its pre-existing intellectual property. Ownership and licensing of project deliverables are defined in the applicable service agreement.
8. Confidentiality
Both parties agree to keep non-public business, technical, and commercial information confidential and to use it only for purposes related to the engagement.
9. Data protection and privacy
Personal data handling is governed by our Privacy Policy. Customer responsibilities for any third-party or end-user data remain under their own governance and legal obligations.
10. Warranties and disclaimers
We provide services with reasonable professional care and skill. Except as expressly stated in a signed agreement, services and website content are provided "as is" and without implied warranties.
11. Limitation of liability
To the maximum extent permitted by law, SIVO CLOUD is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of our website or services.
12. Termination
Either party may terminate an engagement according to the terms defined in the applicable agreement. Outstanding fees for completed work remain payable.
13. Refunds
Refund eligibility and billing corrections are governed by our Refund Policy.

14. Governing law and disputes
Unless otherwise defined in a signed agreement, disputes related to these terms are handled under commercially reasonable legal principles applicable to the parties and transaction context.
